📄 Terms and Conditions – TrueMatch Recruitment


These Terms and Conditions govern the relationship between [Your Recruitment Agency Name] ("we", "us", "the Agency") and the Client ("you", "your"), in relation to the supply and placement of candidates.

1. Services Provided

We provide recruitment services including:

  • Temporary staff supply

  • Permanent recruitment

  • Contract or freelance placements
    All candidates are sourced, screened, and referred based on your job description and requirements.

2. Client Obligations

The Client agrees to:

  • Provide accurate and complete job specifications

  • Notify the Agency of any offer of employment made to a candidate

  • Pay agreed fees in accordance with Section 4

  • Treat all candidate information as confidential

3. Candidate Introductions

  • An introduction is deemed to occur when we share a candidate’s CV or profile.

  • If the Client hires a candidate within 12 months of the introduction, full fees apply.

  • Introductions are confidential and must not be shared with third parties.

4. Fees & Invoicing

Permanent Placements:

  • A placement fee of [10%–25%] of the candidate’s first-year gross salary (negotiable by role/industry).

Temporary/Contract Staff:

  • Hourly or daily rates will be agreed in advance.

  • Fees include wages, statutory payments (e.g., holiday pay, NI), and our margin.

  • Invoices are issued weekly and payable within 7–14 days, unless otherwise agreed.

Late payments may result in interest charges under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Guarantee / Rebate (Permanent Roles)

If the candidate leaves within [4–8 weeks], and all fees have been paid on time, we offer either:

  • A free replacement, or

  • A sliding scale refund (e.g., 100% in week 1, 50% in week 2, etc.)

No refund is given if the Client no longer requires the role to be filled.

6. Liability

We take care to ensure candidates are properly vetted. However, the final hiring decision rests with the Client. We do not accept liability for:

  • Loss, damage, or expense arising from the actions of a candidate

  • Failure to perform due to events beyond our control (e.g., illness, force majeure)

7. Termination

Either party may terminate the agreement with written notice. Fees remain payable for any hires made from previous introductions.

8. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Full details are in our [Privacy Policy].

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
